Draft Pilot Contract
This draft contract is made by and between:
1. Bwirelezz, having its registered office at Sarphatikade 8, 1017 WV Amsterdam, The Netherlands
and
2. Wikipedia, having its registerd office at [address]
(Jointly referred to as the Parties, and individually the Party)
The parties agree as follows:
1. Wikipedia rquires and Bwirelezz is able to provide a SMS service, which will be called ‘Geschiedenis van vandaag’ and will start as a pilot.
2. Wikipedia supplies a sms-ready text to bwirelezz on a day to day basis that is limited to 160 characters.
3. Bwirelezz takes care of the technology and sms traffic and delivers a monthly report on the use of the service.
4. In promoting the service no reference will be made to Wikipedia.
5. Wikipedia can not be held responsible for any shortcomings in the service, wether technically or content related.
6. Bwirelezz adheres to the SMS code of conduct.
Duration of pilot
1. The sms service will start as a pilot.
2. The pilot starts on 1 April 2005.
3. The pilot ends on 1 July 2005.
4. If the pilot is successfully concluded, this pilot contract will be replaced with a contract, including the following conditions: a 12 months contract and exclusivity for the service in the Dutch language.
5. If the pilot is not concluded successfully, the Parties will not continue the SMS service. Only one Party is needed to conclude whether the pilot is succesful.
Pricing & Costs
1. The customer that subscribes to the SMS service pays € 0,40 per message.
2. Telecom operators receive € 0,19 of each message. What is left over is divided between Bwirelezz and Wikipedia on an equal basis. Each party receives 50%.
3. Wikipedia pays Bwirelezz a set up fee of € 500. Bwirelezz allows Wikipedia for a payment settlement: it transfers 30% of the revenue per message to Bwirelezz until the set up fee of € 500 is paid.
This pilot contract has been signed in duplicate by authorised representatives of the Parties.
